SD Eibar Compliance Body certifies the correctness and legality of the contracts issued by the club's board

The independent body acted ex officio when it became aware of the accusations made during the Shareholders' Meeting held on 24 November

The SD Eibar Compliance Body has certified the correctness and legality of the three contracts issued by the club's current board, which were the subject of accusations made by a female representative of a shareholders group during the Shareholders' Meeting held on 24 November.

The Compliance Body is an independent group which was created for the purposes of receiving and investigating queries or complaints regarding possible violations of the club's Ethical Code.

After learning of the events which took place during the Shareholders' Meeting, the Compliance Body itself made an ex officio request to the club to be provided with information relating to the issuing of the three aforementioned contracts.

Once the club had supplied all of the information about said contracts, the Body deemed that the decision to contract the suppliers in question was justified, given that these were selected on account of the benefits that their quotes offered the club when compared to those of their competitors.

The statement made by the Compliance Body is attached.

After being advised of this, the SD Eibar president released a public statement in which she declares that since her appointment at the club, indeed prior to being named as president, she introduced an Internal Audit Committee, codes of conduct and an ethical code.

"Pursuant to the aforementioned internal audit committee, we've initiated exhaustive investigations into the expenses incurred by the club over the last three years and those allocated to each of the board members".

"We now have a system in operation will allows for the full monitoring of expenses, with all of the procedures in place to ensure that decisions are not made on an arbitrary basis".

"I will not allow the honour of the club's board members or my own to be unjustly questioned with references to legal and moral irresponsibility made on the basis of half truths, as was the case in the statement made by the representative of the eight shareholders".

"These individuals are clearly acting in bad faith and I believe that a line has been crossed in their attempts to cause the club harm and much damage has been done to those involved".

"When things are going well on the field, in economic terms and in all of the other areas in the running of the club; when the working environment has finally changed and everyone is focused on what they need to do, it would appear as if there is a small minority who don't like it when things are going well and they prefer to stir things and try to create trouble and generate doubts".

The full statement, in which an explanation is offered regarding the procedure followed in relation to each of the three mentioned contracts, is available via the attached link.

A legal report, which reaches the conclusion that there is no conflict of interest surrounding the issuance of the aforementioned contracts and therefore no violation of the duty of loyalty, is also attached.
